13 General Release

13.1 IF THERE IS A DISPUTE BETWEEN ONE OR MORE USERS, EACH OF USE RELEASE Easy-Payday-Loans, OUR DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, CONTRACTORS AND SUPPLIERS FROM CLAIM, DEMANDS AND ACTUAL AND CONSEQUENTIAL DAMAGES OF EVERY KIND AND NATURE, SUSPECTED AND UNSUSPECTED, KNOWN AND UNKNOWN, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.


14 Limitation of Liability

14.1 IN NO EVENT SHALL WE, OUR DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, CONTRACTORS AND SUPPLIERS, BE LIABLE FOR LOST PROFIT OR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES RESULTING FROM ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT AND/OR YOUR USE OF THE SITE INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE. 15 Indemnity

15.1 You agree to defend, indemnify and hold harmless Easy-Payday-Loans and our directors, officers, agents, employees, contractors and suppliers from any claims or demand made by third party due to or arising out of the performance of this Agreement by either party, as well as any performance related to the documents it incorporates by reference, and/or your violation of any law or the rights of a third party.


16 Specific Enforcement

16.1 You agree that Easy-Payday-Loans will be irreparably injuried if provisions of this Agreement are not enforced specifically. If you breach or, if Easy-Payday-Loans believes that you threaten to breach any of the provisions of this Agreement, Easy-Payday-Loans and its subsidiaries have the right and remedy (in addition to other remedies that may be available at law or in equity) to have the provisions of this Agreement specifically enforced by any court having equity jurisdiction. Such injunction shall be available without the posting of a bond or other security and you hereby consent to the issuance of such injunction.

16.2 If you breach this Agreement, Easy-Payday-Loans will be entitled to recover its legal fees and other costs incurred in the enforcement of this Agreement.


17 Limited Licences

17.1 A limited license is granted to each user by Easy-Payday-Loans, to make personal use only of the Site and the Services in accordance with this Agreement. This license expressly excludes, and without limitation, any duplication, reproduction, sale, resale or other commercial use of the Site and Services, making derivatives of the Site or Services, collection and use of users' email addresses or other information, listings or ratings or any data extraction or data mining. 22 Notice and Procedure for Making Claims of Copyright Infringement

22.1 Easy-Payday-Loans takes copyright infringement claims very seriously.

23 General Provisions

23.1 This is the entire Agreement governing the use of Easy-Payday-Loans.

23.2 No delay by either party shall waive rights under this Agreement.

23.3 No waiver of any breach of this Agreement shall be a waiver of other provision of this Agreement. No waiver shall be valid unless in writing signed by the parties.

23.4 If any provisions of this Agreement is held invalid or unenforceable for any reason, such provision shall be restated to reflect, as nearly as possible, the original intention of the parties in accordance with applicable law. The remainder of the Agreement shall remain in full force and effect and binding and be construed as if the invalid or unenforceable portion were not part of the Agreement.

23.5 This Agreement does not create a joint venture, an agency, a partnership, fiduciary relationship or any similar relationship between the parties. Neither party has the right or authority to act for, or on the behalf of, the other party.

23.6 Headings and numbering system in this Agreement are for the convenience of reference only and do not alter the rights and obligations of the parties.

23.7 The provisions of this Agreement are not for the benefit of any third party.

23.8 Neither party shall be liable to the other for any delay or failure due to acts of God, labor strikes, transportation difficulties, natural disasters, telecommunications or information services infrastructure, riots, hacking, spam, failure of a computer, server or software or omissions or acts of vendors or suppliers beyond the control of the parties.

23.9 The failure or delay by Easy-Payday-Loans to exercise or enforce any right in these Terms does not waive Easy-Payday-Loans's right to enforce that right.

23.10 Provisions of this Agreement that are intended to survive this Agreement shall survive.


24 Notices

24.1 Except as explicitly stated otherwise, any notices shall be given to the Contact Us form. Notice shall be deemed given 1 business day after the 'Contact Us' form is submitted, unless the sending party is notified that there is a problem with delivery.
